By accessing or using Procurely ("the Service"), available at procurely.dev, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Procurely is a procurement tracking platform that helps project coordinators manage and track procurement orders. The Service allows users to upload order confirmations, extract product data using AI, and share procurement status with customers via shareable links.

3. User Accounts & Responsibilities

To use certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and up-to-date information
  • Notifying us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload malicious files, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell, redistribute, or sublicense the Service without written permission

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Procurely and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any data and content you upload to the Service.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

7. Payment Terms

Certain features of the Service require purchasing projects, which are bought as one-time payments. Payment terms include:

  • Projects are purchased individually or in packs via secure checkout powered by Stripe
  • Each project allows you to upload one order confirmation with automatic document reading
  • Purchased projects do not expire and remain in your account until used
  • All purchases are final and non-refundable
  • We reserve the right to change pricing with 30 days' notice

8. Limitation of Liability

To the maximum extent permitted by law, Procurely shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

9. Disclaimers

The Service is provided on an "as-is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. AI-powered data extraction is provided as a convenience and may not be 100% accurate — users should verify extracted data.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data prior to account deletion.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on the Service or sending an email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.
